Heidi Hart is a business, corporate, and real estate transactions attorney with more than 30 years of experience advising clients across a broad range of industries. Her practice focuses on business and real estate transactions, business formation, and corporate governance. She works closely with clients to understand their objectives and provide practical, strategic guidance tailored to their business needs.
Ms. Hart represents buyers, sellers, investors, and business owners in structuring, negotiating, and closing transactions. Her experience includes representing the owner of a multi-location urgent care business in the $2.1 million sale of its assets, advising on the $1.8 million sale of an insurance brokerage portfolio to a national firm, and counseling clients in acquisitions across a variety of industries. She also advises clients on aligning transactions with broader business objectives and navigating the issues that arise throughout the deal process.
In the real estate sector, Ms. Hart has handled significant transactions, including the $12 million sale of a commercial property and the $3.5 million acquisition of commercial properties for a nonprofit organization. She manages transactions from initial structuring through closing, providing clear and efficient guidance at each stage.
Ms. Hart also advises businesses on a range of corporate matters, including entity formation, financing arrangements, and mergers and acquisitions. Her experience includes structuring secured financing transactions, advising on ownership and governance issues, and guiding clients through business transitions, including dissolutions and reorganizations.
She also has experience in business and construction litigation, insurance matters, and contract disputes, which informs her approach to drafting and negotiating agreements. Her combined litigation and transactional background allows her to guide clients with a focus on efficiency, risk management, and sound business judgment.
Ms. Hart received her Bachelor of Arts in Psychology, magna cum laude, from the University of California, Los Angeles, where she was elected to the Phi Beta Kappa Society. She earned her Juris Doctor, cum laude, from Loyola Law School, Los Angeles, where she received American Jurisprudence Awards and was a member of the St. Thomas More Society.
